These Terms & Conditions ("Terms") govern your access to and use of TeamSync, including the TeamSync website, web applications, club portal, parent or guardian portal, athlete-facing features, attendance and check-in tools, billing tools, and related services (collectively, the "Service").
TeamSync ("TeamSync," "we," "us," or "our") provides software designed to help sports clubs, gyms, academies, and organizations manage their members, athletes, parents and guardians, coaches, teams, programs, registrations, attendance, billing workflows, communications, and related administrative activities.
By creating an account, accessing the Service, or using the Service, you agree to be bound by these Terms.
If you are using TeamSync on behalf of a sports club, organization, business, or other entity, you represent that you have the authority to accept these Terms on behalf of that entity.
1. Definitions
For purposes of these Terms:
- "Account" means an account created to access and use the Service.
- "Club" means the sports club, organization, association, academy, gym, team, league, or other entity that subscribes to or uses TeamSync.
- "Club Data" means information submitted, uploaded, entered, or otherwise provided to TeamSync by or on behalf of a Club or its authorized users, including information relating to athletes, members, parents, guardians, coaches, staff, teams, registrations, medical/emergency notes, attendance, schedules, and communications.
- "User" means any individual who accesses or uses the Service, including club administrators, coaches, staff, parents, guardians, athletes, members, and other authorized individuals.
- "Service" means the TeamSync software, website, applications, portals, check-in kiosk tools, features, and related services provided by TeamSync.
2. Eligibility and Authorized Use
The Service is intended primarily for use by sports clubs, athletic academies, and similar organizations.
A Club is responsible for ensuring that individuals accessing its account and records are authorized to do so.
Users must provide accurate information when creating or using an Account and must keep their information reasonably current.
Users must not:
- Use the Service for unlawful purposes;
- Attempt to gain unauthorized access to another Account or data belonging to other Clubs;
- Share Account credentials with unauthorized individuals;
- Circumvent security, access controls, or role permissions;
- Reverse engineer, decompile, disassemble, or attempt to extract source code from the Service;
- Introduce malicious software, code, or scripts into the Service;
- Interfere with or disrupt the operation or security of the Service;
- Use the Service to collect or process information for unlawful purposes;
- Copy, reproduce, resell, sublicense, or commercially exploit the Service except as expressly authorized by TeamSync.
3. Club Responsibilities
The Club is responsible for:
- The accuracy, completeness, and legality of all Club Data entered into the Service;
- Obtaining any necessary consents, permissions, or authorizations required to collect, process, and store personal information from athletes, members, parents, guardians, coaches, and staff;
- Determining what information is appropriate to collect from participants;
- Managing its authorized users, coaches, and staff access permissions;
- Protecting login credentials, invite links, and administrative access;
- Maintaining appropriate policies, participant safety standards, and safeguarding procedures;
- Responding to inquiries or data requests from parents, guardians, athletes, or members concerning information maintained by the Club;
- Complying with applicable laws and regulations governing its operations, privacy, and sports governance.
TeamSync provides software tools to assist the Club with these activities but does not assume responsibility for the Club's underlying business, legal, safeguarding, supervisory, or operational obligations.
4. Parent, Guardian, Athlete, and Member Accounts
A parent, guardian, athlete, member, coach, or other authorized individual may be invited by a Club to create or access a TeamSync Account (via invite links or portal access).
Users are responsible for providing accurate information and maintaining the security and confidentiality of their Account credentials.
Users must notify the Club or TeamSync promptly if they believe their Account or authentication link has been compromised or accessed without authorization.
The Club remains responsible for determining who is authorized to view or manage information concerning its athletes, members, teams, and programs.
5. Information Concerning Minors & Parental Consent
Sports Clubs frequently use TeamSync to manage information concerning children and other minors.
The Club is solely responsible for determining what information it collects concerning minors and for obtaining verifiable parental or guardian consent where required by applicable laws (such as COPPA, GDPR, and regional child data protection regulations).
TeamSync processes minor information strictly on behalf of and under the instruction of the Club to provide the Service, and does not independently solicit or use minor data for third-party commercial purposes.
6. Health, Medical & Emergency Information Disclaimer
The Service may allow Clubs, parents, or guardians to record athlete medical conditions, allergies, medications, physician contact details, emergency contacts, and health insurance information.
- No Medical Services: TeamSync is a record-keeping software tool and is not a healthcare provider, medical record custodian (e.g., HIPAA-covered entity), emergency dispatcher, or medical device.
- No Verification: TeamSync does not verify the accuracy, clinical appropriateness, or completeness of medical or emergency information entered into the platform.
- Emergency Response: TeamSync does not monitor medical records in real time and has no obligation to dispatch emergency services or administer care. The Club, its staff, coaches, and guardians remain solely responsible for responding to medical emergencies and administering any required care or contacting emergency services.
- Disclaimer of Liability: To the maximum extent permitted by law, TeamSync disclaims all liability arising from any reliance on medical or emergency data stored in the Service, inaccurate medical disclosures, or any failure to provide medical assistance.
7. Waivers, Releases, and Club Policies
The Service may facilitate the distribution, review, and electronic signing or acknowledgment of liability waivers, photo/media releases, consent forms, code-of-conduct agreements, or club policies.
- Club Responsibility: The Club is solely responsible for the legal validity, drafting, enforceability, and sufficiency of its waivers, agreements, and policies under applicable local law.
- No Legal Advice: TeamSync does not provide legal advice or warrant that electronic acknowledgments collected through the Service satisfy all statutory requirements for liability waivers or parental releases in every jurisdiction.
8. Attendance, Check-In, and Kiosk Mode
TeamSync provides digital attendance tracking tools and self-service "Kiosk Mode" check-in stations for use by clubs, athletes, and families.
- Hardware & Physical Supervision: The Club is solely responsible for the setup, network security, device locking, and physical supervision of any tablet, computer, or kiosk hardware deployed in its facilities.
- No Guarantee of Physical Verification: TeamSync does not guarantee that attendance or check-in records will always be completely error-free or that unauthorized individuals will never attempt to use a self-service check-in station.
- Custody & Supervision: Marking an athlete as "checked in" or "present" in TeamSync is an administrative record and does not transfer legal custody or supervisory responsibility of any individual to TeamSync.
9. Fees, Subscriptions, and Billing
A. TeamSync Platform Subscriptions (Club to TeamSync)
- Certain TeamSync features require payment of subscription fees.
- Pricing, billing schedules, and terms will be presented to the Club prior to activation. Subscriptions automatically renew unless cancelled in accordance with the applicable subscription terms.
- TeamSync may suspend or restrict access to paid features if applicable subscription fees remain unpaid.
- Subscription fees paid to TeamSync are non-refundable except where required by applicable law or agreed otherwise in writing.
B. Member-to-Club Transactions (Tuition, Dues, Registration)
- The Service may provide tools enabling Clubs to manage invoicing, billing, registration fees, tuition, or team dues for their athletes and families, often integrating with third-party payment processors.
- Independent Relationship: TeamSync is not a bank, money transmitter, or merchant of record for transactions between a Club and its members. All financial arrangements, pricing, tuition policies, chargebacks, and refund disputes are strictly between the Club and the member/guardian.
- Payment Processors: Payments processed through third-party services (e.g., Stripe) are subject to those providers’ terms and fees. TeamSync is not liable for payment processing errors, withheld funds, or gateway downtime.
10. Free Trials and Promotional Accounts
TeamSync may offer free trials, promotional tiers, or complimentary Accounts.
TeamSync reserves the right to establish eligibility rules, feature limitations, and durations for such offers, and may modify or discontinue promotional accounts at any time.
11. Club Data & Data Ownership
The Club retains ownership of all Club Data it submits or causes to be submitted to TeamSync.
The Club grants TeamSync a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, and process Club Data strictly to:
- Provide, maintain, and operate the Service;
- Provide customer and technical support;
- Detect, prevent, and mitigate security threats, fraud, or abuse;
- Comply with legal and regulatory obligations;
- Enhance the performance, stability, and reliability of the platform.
TeamSync will not sell Club Data to third parties, nor will it use identifiable Club Data for third-party advertising.
12. Aggregated and De-Identified Data
TeamSync may generate anonymized, aggregated, and de-identified statistical metrics derived from the operation of the Service.
TeamSync may use this de-identified data for platform analytics, benchmarking, machine learning, and product improvements, provided that such data cannot reasonably be used to identify any individual, athlete, or Club.
13. Third-Party Services and Integrations
The Service relies on or integrates with third-party infrastructure and service providers (including cloud database and hosting providers like Supabase, authentication services, email dispatchers, and payment processors).
Use of third-party features may be subject to those providers' separate terms of service and privacy policies. TeamSync is not responsible for interruptions, failures, or acts of third-party service providers.
14. Communications & Messaging
The Service may allow Clubs to send notifications, announcements, and messages to parents, guardians, athletes, coaches, and staff.
The Club is solely responsible for the content, frequency, and regulatory compliance (including anti-spam and telemarketing regulations) of all communications it initiates through the Service.
15. Intellectual Property
The Service, including all source code, software, user interfaces, logos, trademarks, database designs, and documentation provided by TeamSync, is owned by or licensed to TeamSync.
Except for the limited right to access and use the Service under these Terms, no intellectual property rights or ownership are transferred to the Club or any User.
The TeamSync name, logos, and visual identity may not be used without TeamSync’s prior written consent.
16. Feedback
If you provide suggestions, feature requests, or feedback regarding TeamSync, you grant TeamSync an unrestricted, irrevocable, perpetual, royalty-free right to use, implement, and commercialize such feedback without obligation or compensation to you.
17. Service Availability, Maintenance, and Changes
TeamSync uses commercially reasonable efforts to ensure the Service remains available and reliable. However, the Service is provided on an "as is" basis, and TeamSync does not guarantee uninterrupted, continuous, or bug-free availability.
The Service may be temporarily unavailable due to:
- Scheduled maintenance or emergency upgrades;
- Cloud hosting, internet, or telecommunications outages;
- Security mitigations or cyber incidents;
- Force majeure events beyond TeamSync's reasonable control.
TeamSync reserves the right to modify, enhance, update, or discontinue features of the Service over time.
18. Data Backups and Retention
TeamSync maintains automated backups for operational continuity and disaster recovery. However, these backups do not constitute a permanent archiving service or guarantee that historical records can be recovered in every circumstance.
Clubs are responsible for exporting and retaining any operational, financial, or legal records they are required by law to maintain independently.
19. Suspension and Termination
TeamSync may suspend or terminate access to the Service immediately if:
- A Club or User materially breaches these Terms;
- Applicable subscription fees remain unpaid after notice;
- Use of the Service poses a security vulnerability or threatens other users;
- The Service is used for abusive, fraudulent, or unlawful activities;
- TeamSync is required to do so by court order or law.
A Club may terminate its account and subscription in accordance with its account dashboard settings or written agreement.
Upon termination, access to the Account will be disabled. Subject to legal obligations and standard backup deletion schedules, TeamSync may permanently delete Club Data after a reasonable retention period following termination.
20. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
TeamSync makes no warranty that the Service will meet your specific operational needs, achieve any specific athletic or business result, or operate without technical interruption or error.
21. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TeamSync, its founders, directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, business interruption, personal injury, goodwill, or other intangible losses arising from or relating to:
- Your access to, use of, or inability to access or use the Service;
- Unauthorized access to or alteration of your transmissions, accounts, or data;
- Conduct or content of any third party or Club on the Service;
- Any medical incident, emergency, injury, or physical activity occurring at a Club facility or event.
To the maximum extent permitted by law, TeamSync’s total aggregate liability arising out of or related to these Terms or the Service shall be limited to the total amount paid by the applicable Club to TeamSync in the twelve (12) months immediately preceding the event giving rise to liability.
22. Indemnification
To the extent permitted by applicable law, the Club agrees to defend, indemnify, and hold harmless TeamSync and its officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- The Club's or its Users' breach of these Terms;
- The Club's violation of applicable privacy, child protection, or employment laws;
- Information, Club Data, or communications submitted to or transmitted via the Service;
- Any dispute between the Club and its members, athletes, parents, or staff (including billing, tuition, custody, or injury claims);
- The Club's failure to obtain required parental or legal consents.
23. Privacy
Our collection, storage, and processing of personal information are governed by the TeamSync Privacy Policy, which is incorporated by reference into these Terms.
24. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of The Bahamas, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Commonwealth of The Bahamas, unless both parties mutually agree in writing to alternative dispute resolution (such as binding arbitration).
25. Electronic Acceptance
You acknowledge and agree that selecting an acceptance checkbox, clicking an "Agree," "Create Account," or "Register" button, activating an invite link, or otherwise accessing the Service constitutes your legally binding electronic signature and acceptance of these Terms.
26. Severability and Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. No failure or delay by TeamSync in exercising any right under these Terms shall constitute a waiver of that right.
27. Entire Agreement
These Terms, together with the TeamSync Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and TeamSync regarding your use of the Service, superseding any prior written or oral agreements.
